Terms of Service

Acceptance

By creating an account or using Pennyweight, you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not use the service.

The service

Pennyweight is a personal finance application provided by Pennyweight LLC ("Pennyweight"), a Delaware limited liability company. Pennyweight is not a bank, broker-dealer, investment advisor, money transmitter, or tax preparer. We do not provide financial, investment, legal, or tax advice. The service is in pre-release / pre-launch status and may change materially, be temporarily unavailable, or have features added or removed without notice.

AI features

Pennyweight uses artificial intelligence to categorize transactions and answer natural-language questions about your accounts. AI output is generated automatically and may be inaccurate, incomplete, or out of date. AI output is informational and should not be relied upon as professional financial, legal, tax, or investment advice. You are responsible for verifying any output you choose to act on.

Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use Pennyweight. By registering, you represent that you meet these requirements.

Your account

You are responsible for the security of your account credentials and for all activity that occurs under your account. Notify us immediately at security@pennyweight.ai if you suspect unauthorized access. You may close your account at any time through the app or by emailing privacy@pennyweight.ai.

Linked financial accounts

Pennyweight uses Plaid Inc. to read transaction and balance data from financial institutions you choose to connect. By linking an account, you authorize us, through Plaid, to retrieve that data on your behalf. You may disconnect any institution at any time; doing so stops future data retrieval through Plaid for that institution. Previously collected data is handled per our Privacy Policy. You represent that you own or are authorized to access every account you link.

Acceptable use

You agree not to:

• Use the service for any unlawful purpose, or in violation of applicable laws or regulations
• Attempt to gain unauthorized access to the service, other users' accounts, or our systems
• Probe, scan, or test the vulnerability of the service except under a coordinated security disclosure to security@pennyweight.ai
• Reverse-engineer, scrape, or otherwise extract our software or service except as permitted by law
• Use the service to harass, defraud, or impersonate any person

Fees

Pennyweight is currently in pre-launch and free to invited users. When paid plans are introduced, pricing and billing terms will be presented before any charge. You will not be charged without explicit consent.

Intellectual property

The Pennyweight name, logo, software, and content are the property of Pennyweight LLC and are protected by U.S. and international intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the service for your personal, non-commercial use.

Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENNYWEIGHT LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

Indemnification

You agree to indemnify and hold Pennyweight LLC harmless from any claim, loss, or expense arising from your violation of these Terms or your misuse of the service.

Termination

We may suspend or terminate your access to the service if you breach these Terms or use the service in a way that puts the service or its users at risk. You may terminate your account at any time. Sections that by their nature should survive termination will do so.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the app or by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
